Unopened, still in shrink wrapping. Upgrade for Dell computers. I'm sure you can convert this into a general-purpose upgrade with vLite and the like, but legally it's only for Dell computers.

Is this 32bit only or can you do 64 bit with it also?

OEM media from a royalty OEM like Dell won't be usable on non-recent-Dell machines - it verifies information in the BIOS to ensure that it's only used on the correct platform.

Circumventing that would be a violation of the EULA.

32-bit only.

You can use it on a naked machine - you don't need to upgrade from anything. However, it does have to be a recent machine (think 2007ish or newer).
